In these Terms and Conditions the term "Customer" means you; "ABC" means the Audit Bureau of Circulations Limited; "Services" means those services offered by ABC from this Website from time to time whether accessed free of charge by members and/or non-members or for which you have agreed to subscribe; "ABC Data" means data or other information made available by ABC via the Website.
The ABC Data Protection and Privacy Policy is set out at clauses 7 and 8 below.
1.1 The Customer understands and agrees that the Website and all material contained in it and any ABC Data provided to the Customer by ABC may only be used for the Customer's own personal use or for internal company use and (without limitation) it may not be used in the compilation of (or merged with) any directories or databases in any form or medium or otherwise copied or published for the purposes of sale, lease, rental or otherwise distributed to any third party in whole or in part.
1.2 The Customer understands and agrees that any password provided to the Customer to access the Website and the Services is for the use of the Customer only and is not transferable and the Customer agrees not to permit its use by or disclosure to any third party.
2.1 Where charges (other than membership fees) are applicable in relation to the use of any of the Services they are clearly set out on the Website and are correct at the time of issue but may be subject to amendment without notice at any time.
2.2 New customers will be required to pay for any applicable charges for the Services in advance as indicated on the Website.
2.3 Renewal customers will be invoiced for the continuation of their subscription for the Services as indicated on the Website. All charges are payable within 30 days of the date of invoice.
2.4 In the event of late payment ABC reserves the right to charge the Customer interest on any overdue payments at the rate of 2 per cent per annum over the National Westminster Bank base rate, calculated on a daily basis.
2.5 Value Added Tax will be added to all charges at the rate applicable at the time of invoicing.
2.6 Where the Customer makes any unauthorised use of the Services in breach of these Terms and Conditions ABC reserves the right (in addition to such other rights available to ABC under these Terms and Conditions) to invoice the Customer for such reasonable additional fee as appropriate according to the nature of the Customer's business and the use the Customer has made of the Services or the ABC Data. Any such invoices will take into account the period of time the Customer has subscribed to the Services and ABC reserves the right to charge the Customer interest at the rate of 2 per cent per annum over the National Westminster Bank base rate, calculated on a daily basis on any invoiced sum.
Copyright in the Website, in all material contained in it, in all ABC Data and other information published by ABC and in any databases of such information compiled for the purpose of providing the Services is the property of ABC (or licensed by ABC) and may not be copied, republished, sold, licensed or reproduced in any form or medium, save with the prior written consent of ABC. Customers wishing to use any of the aforementioned material for any purpose other than private or internal company use should contact ABC.
Without prejudice to any other rights and remedies which ABC may have the Customer acknowledges and agrees that a breach of the security of the Website or the misuse of the Services or the ABC Data may damage the business of ABC and the Customer agrees that it shall indemnify ABC against any costs, claims, demands or expenses incurred or sustained by ABC by reason of any breach of these Terms and Conditions.
5.1 ABC endeavours to ensure that the content of the Website and the ABC Data is accurate but ABC does not make any representation or give any warranty (expressed or implied) as to the accuracy or completeness of the Website, the Services or the ABC Data or their fitness for any particular purpose and any such warranty is hereby excluded.
5.2 ABC reserves the right to change the content, presentation and availability of the Website at any time at ABC's discretion and without notice.
5.3 The Customer acknowledges and agrees that neither ABC nor its agents or sub-contractors shall be liable to the Customer for the use the Customer makes of the Website, the Services, the ABC Data and/or the results and information the Customer may obtain from the foregoing. All warranties, conditions, undertakings, representations and terms, whether express or implied, are hereby excluded to the fullest extent permitted by law. Without limiting the foregoing, any liability of ABC to the Customer shall not in any circumstances include any businesses losses that may be incurred, including but not limited to, lost data, lost profits or business interruption.
5.4 ABC does not exclude any liability towards the Customer for personal injury resulting from the negligence of ABC, fraud or any other matter which it would be illegal for ABC to attempt to exclude.
6.1 ABC shall endeavour to allow uninterrupted access to the Website and the Services but access to the Website and provision of the Services in whole or in part may be suspended or restricted at any time and for any reason.
6.2 ABC may suspend or terminate supply of the Services immediately and without notice if any charges are overdue or if the Customer is in breach of these Terms and Conditions.

9.1 These Terms and Conditions shall form the entire agreement between the parties regarding the use of the Website, the Services and the use of the ABC Data and supersede any prior agreements, arrangements or understandings, written or verbal. No variation shall be binding unless it is in writing signed by or on behalf of the parties.
9.2 The invalidity or unenforceability of any term or any right arising hereunder shall in no way affect the enforceability of the remaining rights or terms.
9.3 The Customer shall not be entitled to assign or transfer any of its rights or obligations under these Terms and Conditions to any other person.
9.4 These Terms and Conditions shall be governed and construed in accordance with English law and shall remain enforceable notwithstanding termination of this agreement.
